By engaging in any services with CSGenterprise, you agree to the terms and conditions below. This Consulting Agreement ("Agreement") is made to be entered by and between CSGenterprise ("Consultant"), J&G Operations ("Consultant"), and Any Future buyer of the "ATM Masterclass" ("Client").

WHEREAS, Consultants offer consulting services and products related to the ATM business, including but not limited to the "ATM Masterclass" program; and WHEREAS, Client desires to engage Consultants to provide consulting services and deliver products as outlined in the "ATM Masterclass" program; NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

Consultants shall provide Client with comprehensive ATM business consulting, delivery of ATMs as outlined in the program, and assistance in generating potential ATM locations through cold calling to the best of Consultants' ability. Client acknowledges and agrees that Consultants do not guarantee any specific revenue or high-yielding locations for the ATMs provided. The potential locations are generated based on Consultants' expertise and industry knowledge, but results are not guaranteed. Upon shipment of the ATMs to Client, Consultants shall not be responsible for any theft, damage, or loss of the ATMs or their contents. Client assumes full responsibility and liability for the ATMs and their contents after delivery, including any associated risks and maintenance. Consultants will perform cold calling services to generate potential ATM locations. This service is included in the ATM Masterclass fee. Consultants do not guarantee any specific locations or positive leads from the cold calling service. Consultants will provide a list of locations that they will call on behalf of the Client. The outcome of these calls can vary; some lists may yield multiple locations, while others may yield none, depending on the area and the receptiveness of business owners. Additional lists may be provided at the discretion of CSGenterprise, and further cold calling services beyond the initial scope will require additional payment.

Client agrees not to initiate any chargebacks or disputes through their credit card issuer or bank for any payments made under this Agreement. Any issues or disputes will be resolved directly between Client and Consultants. Upon payment, Client is granted access to a community and given access to CSGenterprise's ATM agreement. After this point, any refund amount, if allowed, is at the sole discretion of CSGenterprise. Client has no right to initiate chargebacks or fraud claims after the collection of this fee. Client acknowledges that Consultants are not liable for any legal or financial crimes, including but not limited to fraud, money laundering, or any other criminal activities, related to the use of the ATMs or the ATM business. Client assumes full responsibility for compliance with all applicable laws and regulations. Client acknowledges that Consultants are solely providing consulting services and selling ATMs as part of the "ATM Masterclass" program. Consultants are not responsible for the operation, maintenance, or management of the ATMs once delivered to the Client. Client agrees to pay Consultants the fees as outlined in the "ATM Masterclass" program. Payment terms and conditions will be detailed in an invoice provided to Client.

This Agreement shall commence on the date first written above and continue until the completion of the services provided or until terminated by either party with 30 days written notice. In the event of termination, Client shall pay Consultants for all services rendered and products delivered up to the date of termination. Each party agrees to keep confidential any proprietary information disclosed by the other party during the term of this Agreement. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written. Any amendments or modifications to this Agreement must be in writing and signed by both parties.
